Privacy Policy & Service Conditions

Last Revised: October 24, 2023 • Effective for all Radxion active service engagements.

Comprehensive Legal Terms

Please read these terms and conditions carefully. By accessing or contracting services with Radxion, you assent to be bound by the specific legal provisions outlined in the respective sections below.

1. Definitions

"Company" or "We" refers to Radxion. "Client" refers to the corporate entity or individual procuring professional services, audit software, or security strategy implementation. "Services" encompasses digital security protocols, risk mitigation advice, platform development, and adjacent corporate technical support specified in an applicable Statement of Work (SOW).

These conditions apply to all service agreements, scopes of work, and data processing schedules initiated with Radxion. Any modifications, custom variations, or auxiliary agreements are only valid if formally authorized in writing by an officer of both parties.

Radxion services are limited to professional cybersecurity strategy, advisory, and technical evaluations. While we implement state-of-the-art protections, we do not guarantee absolute immunity to evolving structural threats, hardware failure, or unauthorized external actions outside of our systems.

Both parties agree to indemnify, defend, and hold harmless the other party against direct liabilities, structural damages, and legal settlements arising solely out of gross negligence, willful misconduct, or unauthorized breach of shared standard security data.

The Client is obligated to clearly identify and formally notify Radxion in writing of any High-Risk Projects—including critical medical devices, transaction frameworks, or government infrastructure. Failure to disclose high-risk parameters nullifies standard service indemnification.

Radxion commits to performing services with professional diligence. Timelines and project milestones outlined in the SOW are estimates. Delay in milestone performance due to external technical bottlenecks, third-party services, or client action does not constitute a breach of contract.

All proprietary technical models, business secrets, and database structures shared between both parties must remain strictly confidential. Radxion will store and manage sensitive information under industry-standard encryption, and will never share it without explicit consent.

The Client must supply accurate systems data, provide secure sandbox access as requested, and refrain from soliciting or employing Radxion technical personnel during the active contract and for a period of twelve months post-termination.

Neither Radxion nor the Client shall be liable for any indirect, special, incidental, or consequential damages—including but not limited to loss of revenue, business interruption, or reputation damage—regardless of active legal theories of action.

All prior proprietary IP remains exclusively vested in the originating party. Upon full, final, and non-refundable payment of contract invoices, Radxion grants the Client non-exclusive, global integration rights to specific deliverables generated.

The Client will reimburse Radxion for reasonable, pre-approved project expenses, including specialized testing environment hosts, standard business travel, and data acquisition fees, subject to structured digital receipts.

Standard payment is Net 30 from the invoice date. Outstanding balances accrue compounding interest at 1.5% per month, alongside all collection agency fees incurred if non-payment breaches structural contract milestones.

Strategic advice provided by Radxion serves as professional recommendation. The Client remains fully responsible for executive implementation, testing, operational safety, and regulatory compliance within their own active platforms.

Radxion reserves the right to use the Client's non-confidential corporate name and brand trademark as a case study reference or within public marketing and investor presentation materials, unless otherwise explicitly restricted in writing.

Any procedural disputes must be registered within 14 business days of delivering service components. Parties will aim to resolve the grievance through cooperative mediation within 30 days before initiating formal legal remedies.

Active contracts can be dissolved by either party given a 30-day written termination framework. Radxion reserves the immediate right to suspend performance in cases of insolvency, critical safety risk, or technical non-payment.

We operate in strict compliance with global cyber regulations and corporate data practices. Any attempt to harness Radxion systems or output scripts for illicit activities, breach exercises, or dark-net trading initiates immediate nullification.

Total consolidated structural liability for Radxion under any active Statement of Work is capped at the total amount actually paid by the Client to Radxion for the respective service slice preceding the liability action.

Neither party shall be penalized for system delays, outages, or delivery disruptions caused by unforeseeable acts of God, global labor disputes, nation-state grid failure, regulatory modifications, or sweeping natural emergencies.

These conditions are governed by and construed in accordance with the corporate laws of our primary state of incorporation. All disputes must be exclusively litigated in designated jurisdiction panels, waiving jury configurations.
